These Terms of Use ("Terms") govern your access to and use of the Agenyze platform, website, and related services (collectively, the "Service") provided by Agenyze, LLC. ("Agenyze", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@agenyze.ai if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malicious code
• Resell, sublicense, or redistribute the Service without our written consent

4. Your Data

You retain all rights to data you provide or connect to the Service ("Your Data"). You grant us a limited license to access and process Your Data solely to provide the Service. We will not use Your Data for any other purpose. Agenyze connects to your databases through read-only connections and does not store your raw data.

5. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by Agenyze and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

6. Subscriptions and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. If you do not agree to the new pricing, you may cancel before the next billing period.

7. Free Trial

We may offer a free trial period. At the end of the trial, your account will be converted to a paid plan unless you cancel. No credit card is required to start a trial.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Agenyze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

10. Termination

You may terminate your account at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account termination.

11. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
